1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the BrandBlock platform and related services (the “Service”). BrandBlock is a DBA of Adverium, owned and operated by TUBLife Entertainment LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to: Be bound by these Terms Comply with all applicable laws and regulations If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
BrandBlock is a subscription-based software platform that provides CRM, automation, marketing, communication, analytics, and related business tools for creators, artists, labels, agencies, and businesses (“Clients”).
The Service includes access to hosted software, dashboards, workflows, integrations, and sub-accounts provisioned by the Company.
Some Clients may also receive onboarding, consulting, implementation, or managed services under separate written agreements. These Terms apply to the software platform unless otherwise stated in writing.
3. Accounts and Access
To use the Service, you may be required to create an account or be provisioned access.
You agree to:

✅ Be responsible for all activity that occurs under your account
✅ Promptly notify us of any unauthorized use or security breach
We reserve the right to suspend or terminate access to any account that violates these Terms or poses a legal, security, or operational risk.
4. Acceptable Use
You agree not to use the Service to:

✅ Attempt to gain unauthorized access to systems, accounts, or networks

We may investigate suspected violations and may suspend or terminate access if we reasonably determine a violation has occurred.
5. Billing, Fees, and Payment
Use of the Service may require payment of subscription fees and usage-based charges.
✅ Subscription fees are billed on a recurring basis according to your selected plan
✅ Certain features may incur additional usage fees, including messaging, email, or carrier-related costs
✅ Payments are processed through third-party processors such as Stripe or other authorized providers
✅ All fees are non-refundable unless required by applicable law
✅ Unused time, credits, or services are not refundable
We reserve the right to change pricing with reasonable notice. Continued use of the Service after pricing changes take effect constitutes acceptance of the updated pricing.
6. Cancellation and Termination
6.1 Cancellation by Clients
✅Standard software subscriptions may be canceled at any time through account settings or support
✅Access typically continues through the end of the current billing period
✅Managed, custom, or extended services may require thirty (30) days’ written notice, as outlined in separate agreements
6.2 Suspension or Termination by the Company
We may suspend or terminate access immediately if you:
✅Violate these Terms
✅Fail to pay amounts due
✅Create legal, compliance, or security risk
We may also restrict access to comply with law or protect other users.
7. Ownership and Intellectual Property
7.1 Your Content
You retain ownership of all data, content, and materials you upload or create within the Service (“Your Content”).
You grant the Company a limited, non-exclusive, worldwide license to host, process, transmit, and display Your Content solely to provide and support the Service.
7.2 BrandBlock Platform
The Company retains all rights, title, and interest in the BrandBlock platform, including software, code, designs, workflows, trademarks, and intellectual property.
No rights are granted to you except the limited right to access and use the Service in accordance with these Terms.
8. Third-Party Services
The Service may integrate with third-party platforms including but not limited to CRM providers, messaging carriers, payment processors, and automation tools.

9. Confidentiality and Data Protection
Each party agrees to protect the other party’s confidential, non-public information.

You are solely responsible for ensuring your own use of the Service complies with applicable privacy, data protection, and marketing laws.

10. Warranties and Disclaimers
The Service is provided “as is” and “as available.”
To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted service, error-free operation, or specific results.
11. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, or data.
Our total aggregate liability for all claims shall not exceed the total fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless the Company and its affiliates from claims arising out of:

✅ Your violation of these Terms
✅ Your violation of any third-party rights
13. SMS Terms & Mobile Communications
13.1 DESCRIPTION OF SMS USE CASES
BrandBlock uses SMS messaging solely for transactional and service-related purposes, including account notifications, appointment confirmations and reminders, service updates, and other communications requested by the user.
13.2 OPT-OUT INSTRUCTIONS
You may opt out of receiving SMS messages at any time by replying STOP. After opting out, you will no longer receive SMS messages from BrandBlock.

14. Age Restriction (18+)
BrandBlock services are intended for individuals who are at least 18 years old. By using BrandBlock, you confirm that you meet this age requirement.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles.
Disputes will first be addressed through good-faith informal discussions.
If unresolved, disputes shall be resolved by binding arbitration in New Jersey under the rules of the American Arbitration Association.
You waive any right to participate in class actions or representative proceedings.
16. Changes to These Terms
We may update these Terms from time to time. The Effective Date will reflect the latest revision.
Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
